MARIGEL M. BANIQUED

Received her Juris Doctor (J.D.) degree from the Ateneo de Manila University School of Law in 2008 and was admitted to the Philippine Bar in 2009. She obtained her Bachelor of Arts degree, Major in Public Administration from the University of the Philippines in 2004. She is a member of the Integrated Bar of the Philippines and a Trained Arbitrator of the Philippine Dispute Resolution Centre, Inc.

Relevant Experiences

  • Involved in litigation work (civil, criminal, appellate, administrative, and inter/intra-corporate litigation), composed mostly of making appearances in court and other administrative tribunals, drafting and review of legal pleadings, developing case theories and strategies and assisting clients in amicably settling disputes.
  • Currently part of the team acting as counsel to a geothermal power company in relation to the eviction/ejectment of informal settlers in the project site covered by the company’s Geothermal Renewable Energy Service contract with the National Power Corporation.
  • Acted as counsel to a national retailer in its corporate notes issuance amounting to PHP3.5 Billion. Work involves conducting due diligence review of corporate and financial documents, drafting and review of various contracts, and assisting client in it various legal queries.
  • Part of the team acting as transaction counsel to an international REIT in the structuring and acquisition of land.
  • Part of the team that assisted Steag State Power Inc., a joint venture company of Evonik Steag GmbH, Aboitiz Power Corporation and La Filipina UyGonco Corporation, in the successful negotiation and financial close of its US$80 Million refinancing for its 232MW coal fired power plant located on the island of Mindanao, Philippines.
  • Part of the team engaged to act as legal counsel for various banking and private corporations. Scope of work included drafting of memoranda, particularly on matters relating to banking and securities regulations.
  • Currently handles matters relating to Intellectual Property Law including, but not limited to, trademark applications and drafting and review of pleadings for Petitions for Cancellation of Registration of Trademark and appearance before the Intellectual Property Office – Bureau of Legal Affairs.
  • Currently handles cases on disputed assessments before the Bureau of Internal Revenue.
  • Acted as counsel that conducted land inventory and due diligence in connection with the lease of project site for power generation facilities and acquisition of rights of way; provided analysis of certain land issues affecting the structuring of collateral security for project financing.
  • Acts as assisting counsel for a pioneering multi-national mortgage servicing platform that combines functional competencies in Mortgage Finance Origination and Credit Underwriting, Loan Servicing, Default Management, Property Management and Secondary Market Development. Scope of work includes drafting and review of legal pleadings and documents relating to petitions for issuance of ex-parte writ of possession and making appearances in court to establish jurisdictional requirements and presentation of evidence in support of the said petition.
  • Part of the legal team that assisted Therma Luzon Inc., a subsidiary of the Aboitiz Power Corporation, in its successful bid for the selection of independent power producer administrator (IPPA) contract for the management of the 700-MW Pagbilao coal-fired power facility in Quezon.
  • Part of the team engaged to act as legal counsel for a major generation company in relation to its borrowings and securitization transactions with the largest universal bank in the Philippines. Scope of work includes providing legal and practical advice to the client, drafting and review of relevant documents.
  • Acted as legal counsel to a subsidiary of a global power generation and distribution company and considered as one of the United States’ top 50 best performers in its proposed bid for the selection of independent power producer administrator (IPPA) contract for the management of the 345-MW San Roque Multi-Purpose Hydroelectric Power Plant, 70-MW Bakun Hydroelectric Power Plant, and 30-MW Benguet Mini-Hydro.
  • Acts as assistant corporate secretary of various corporations and provides general corporate housekeeping services including filing of reportorial requirements; contract preparation and review; and rendering of legal opinions.
  • Acts as assisting counsel to corporations engaged in the real estate business, rendering legal advice on the development of condominium projects, operation of serviced apartments, participation of foreign investors, as well as preparing the documentation for the relevant transactions arising therefrom.
  • Had participated as external counsel for several corporations. Work included drafting of documents for pre and post-incorporation, dissolution, and mergers.
