ANYA M. PALILEO

Received her Juris Doctor degree from the University of the Philippines in 2008. She obtained her Bachelor of Arts degree (Broadcast Communicaton) from the University of the Philippines in 2003 where she graduated cum laude. She was admitted to the Philippine Bar in 2009.

Relevant Experiences

  • Served as counsel for a foreign investor for the establishment of a financing company. Work included structuring of foreign equity to comply with regulatory requirements, representations before pertinent government agencies, drafting and review of company charter and by-laws and other necessary documentation for submission to the Securities and Exchange Commission in relation to the application for the issuance of a Certificate of Authority to operate as a financing company.
  • Part of the team acting as counsel to an international microcredit institution seeking to establish the Philippines’ first bank to operate exclusively as an e-bank utilizing the mobile network technology platform. Considering the novelty of the transaction, work involves to a large extent creative application of existing laws and banking regulations as well as assisting client to initiate reforms both on branching and e-money regulations of the Bangko Sentral ng Pilipinas (the Philippine Central Bank).
  • Part of the team which acted as legal counsel to a foreign investor in its proposed acquisition of shares in a local thrift bank. Work includes conduct of due diligence review of various corporate and banking documents to determine compliance with laws and regulatory requirements, and review of transaction documents for the purchase of equity in the target thrift bank.
  • Acted as legal counsel to a subsidiary of a global power generation and distribution company and considered as one of the United States’ top 50 best performers in its proposed bid for the selection of independent power producer administrator (IPPA) contract for the management of the 345-MW San Roque Multi-Purpose Hydroelectric Power Plant, 70-MW Bakun Hydroelectric Power Plant, and 30-MW Benguet Mini-Hydro.
  • Part of the legal team which advised a generating company in its bid for manage the contacted capacity of a 1200MW gas-fired power plant. Work includes assisted in the due diligence review, preparation of due diligence report, submission of bid documents and comments to the transaction agreements with PSALM.
  • Part of the team that advised Aboitiz Power Corporation, through its subsidiary Therma Mobile, Inc., on its successful acquisition of four (4) power barges from Duracom Mobile Power Corporation (DMPC) and East Asia Diesel Power Corporation (EADPC) with a total capacity of 242MW.
  • Served as legal counsel to a renewable company in connection with its application for registration and accreditation with the Department of Energy. Work included review of tax incentives under the Renewable Energy Act of 2008.
  • Serves as counsel to one of Asia Pacific’s leading specialist in corporate recovery in their acquisition of contracts to sell (“CTS”) receivables from a Philippine financial company. Work included review of accounts covered by the CTS, review of sale/assignment documents and assisting client in providing an efficient structure for the acquisition of the CTS.
  • Acted on behalf of clients in applications for trademark registration and enforcement of intellectual property rights with the Philippine Intellectual Property Office. Work includes representation before the Intellectual Property Office and Mediation Office in the prosecution of infringement cases, conduct of registration eligibility searches and applications for registration of copyright, trademark, and other intellectual property rights, preparation, review and/or registration of license and franchise agreements and other technology transfer arrangements with the Documentation, Information and Technology Transfer Bureau.
  • Assisting Special Purpose Vehicle (SPV) clients in securing Certificates of Eligibility (COE) from various government agencies.
  • Part of the team advising on competition policy and related antitrust concerns, consumer and personal data protection issues in the pharmaceutical industry, as well as the medical profession.
  • Involved in litigation work (civil, criminal, and administrative), composed mostly of making appearances in court and other administrative tribunals, drafting and review of legal pleadings, developing case theories and strategies and assisting clients in amicably settling disputes.
  • Acts as assisting Corporate Secretary and General Counsel for different corporations. Work includes incorporation, contract review and drafting of documents for various corporate transactions and corporate filings.
